Welcome to Zoe Nation. These Terms of Service ("Terms") govern your access to and use of the Zoe Nation platform, including our website, mobile applications, and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

1. Acceptance of Terms

By creating an account, accessing, or using our Services, you confirm that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Account Registration

To access certain features of our Services, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Be responsible for all activities that occur under your account
  • Notify us immediately of any unauthorized access or security breach

We reserve the right to suspend or terminate your account if any information provided is inaccurate, false, or incomplete.

3. User Types and Roles

Zoe Nation supports different user roles, each with specific permissions and responsibilities:

  • Attendees: Users who browse events and purchase tickets.
  • Organizers: Users who create and manage events, sell tickets, and manage attendees.
  • Scanners: Users authorized by organizers to check in attendees.
  • POS Operators: Users authorized to process on-site ticket sales.

4. Event Organizer Responsibilities

If you create events as an Organizer, you agree to:

  • Provide accurate and complete event information
  • Honor all ticket sales and event commitments
  • Comply with all applicable laws and regulations
  • Obtain necessary licenses, permits, and insurance
  • Ensure event safety and security for attendees
  • Handle refunds and cancellations according to our policies
  • Not create events for illegal activities or prohibited content

5. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

  • Violating any applicable laws or regulations
  • Infringing on intellectual property rights
  • Creating or distributing fraudulent, misleading, or deceptive content
  • Harassing, threatening, or discriminating against others
  • Interfering with the security or operation of our Services
  • Attempting to gain unauthorized access to any part of our Services
  • Using bots, scrapers, or automated systems without authorization
  • Reselling tickets in violation of organizer policies
  • Engaging in money laundering or other financial crimes

6. Payments and Fees

By purchasing tickets or using paid features, you agree to:

  • Pay all applicable fees and charges
  • Provide valid payment information
  • Accept our refund and cancellation policies

Zoe Nation charges platform fees and payment processing fees, which are disclosed at the time of purchase. Organizers may be subject to additional commission fees based on their agreement with Zoe Nation.

7. Intellectual Property

Zoe Nation and its licensors own all intellectual property rights in and to the Services, including trademarks, logos, software, and content. You may not use our intellectual property without prior written consent.

By posting content on our platform, you grant Zoe Nation a non-exclusive, royalty-free license to use, reproduce, modify, and display that content for the purpose of providing and promoting our Services.

8. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services immediately ceases. Provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

9. Disclaimer of Warranties

Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that our Services will be uninterrupted, secure, or error-free. Zoe Nation is not responsible for the quality, safety, or legality of events listed by organizers.

10. Limitation of Liability

To the maximum extent permitted by law, Zoe Nation shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, arising from your use of our Services. Our total liability shall not exceed the amount you paid to Zoe Nation in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Zoe Nation and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses arising from your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in San Francisco County, California.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the effective date. Your continued use of the Services after such changes constitutes acceptance of the revised Terms.
